1. CONTRACTUAL RELATIONSHIP

These RoFix Technologies, Inc. , Terms and Conditions , Canada (the “RoFix Terms”) govern your access to or use, as an individual, from within Canada, of any platform, applications, websites, content, products, and services (the “RoFix Services”) made available by RoFix Technologies, Inc. (“RoFix”).

PLEASE READ THESE TERMS CAREFULLY BEFORE ACCESSING OR USING THE ROFIX SERVICES.

You may accept these terms by clicking a box, creating an account, requesting a service, or by otherwise affirmatively indicating your acceptance. By continuing to access or use the RoFix Services, you agree to be bound by these RoFix Terms, as may be amended from time to time, which establishes a contractual relationship between you and RoFix. If you do not agree to these RoFix Terms, you must not access or use the RoFix Services.

RoFix may immediately terminate these RoFix Terms or any RoFix Services with respect to you, or generally cease offering or deny access to the RoFix Services or any portion thereof, at any time for any reason, subject to applicable law.

Scope of these RoFix Terms

RoFix Services may be provided by RoFix or, if specified in these RoFix Terms or any supplemental terms, by RoFix affiliates. The RoFix Services constitute a technology platform that may enable you to request, schedule, or arrange certain services with independent third party providers (each, a “Third Party Provider”).

For clarity, RoFix does not itself provide towing, vehicle transport, roadside assistance, repairs, or any other vehicle services. Any such services are provided by Third Party Providers, and Third Party Providers are solely responsible for the services they provide to you.

Supplemental terms

Supplemental terms may apply to certain RoFix Services, such as policies for a specific program, partner offering, promotion, subscription plan, business account, fleet account, or Third Party Provider category. Supplemental terms will be provided to you in connection with the applicable RoFix Services. To the extent supplemental terms conflict with these RoFix Terms, the supplemental terms will prevail for those RoFix Services.

Amendments

RoFix may amend these RoFix Terms, and any supplemental terms or policies, from time to time. RoFix will provide notice of material changes that detrimentally affect your rights under these RoFix Terms by sending an email, providing notice through the RoFix Services, or updating the date at the top of these RoFix Terms. Unless otherwise stated, amendments will be effective upon posting. Your continued access or use of the RoFix Services after notice or posting constitutes acceptance of the changes.

Privacy

RoFix’s collection and use of personal information in connection with the RoFix Services is described in RoFix’s Privacy Policy (the “Privacy Policy”), available at:

You consent to RoFix potentially providing to an insurance claims processor, insurer, or other relevant party any necessary information (including contact information), if there is a complaint, dispute, or conflict involving you and a Third Party Provider and such information is reasonably necessary to resolve the matter, subject to applicable law.

2. THE ROFIX SERVICES

RoFix will provide the RoFix Services to you in accordance with these RoFix Terms. The RoFix Services constitute the provision of a technology platform that may enable you, as a user of RoFix applications or websites (each, an “Application”), to:

a. request, arrange, and schedule certain vehicle services with independent Third Party Providers, including towing, roadside assistance, battery services, tire services, lockout services, fuel delivery, jump starts, winch recovery, or related services, where available,

b. facilitate payments for services and receive receipts, where applicable,

c. access related content and customer support.

The RoFix Services are made available solely for your personal, non commercial use, unless RoFix has agreed otherwise in a separate written agreement.

No provision of vehicle services by RoFix

You acknowledge that RoFix does not provide vehicle services and does not act as a carrier, tow operator, mechanic, or roadside service company. Third Party Providers are independent contractors and are not employed by RoFix. Third Party Providers are solely responsible for the services they provide to you.

Licence

Subject to your compliance with these RoFix Terms, RoFix grants you a limited, non exclusive, non sublicensable, revocable, non transferable licence to:

i. access and use the Applications on your personal device solely in connection with your use of the RoFix Services, and

ii. access and use any content, information, and related materials made available through the RoFix Services, solely for your personal, non commercial use.

All rights not expressly granted are reserved by RoFix and its licensors.

Restrictions

You may not:

i. remove any copyright, trademark, or other proprietary notices from any portion of the RoFix Services,

ii. reproduce, modify, prepare derivative works based upon, distribute, licence, lease, sell, resell, transfer, publicly display, publicly perform, transmit, stream, broadcast, or otherwise exploit the RoFix Services except as expressly permitted by RoFix,

iii. decompile, reverse engineer, or disassemble the RoFix Services, except as permitted by applicable law,

iv. link to, mirror, or frame any portion of the RoFix Services,

v. cause or launch any programs or scripts for scraping, indexing, surveying, or data mining any portion of the RoFix Services or that unduly burden the operation of the RoFix Services,

vi. attempt to gain unauthorized access to or impair any aspect of the RoFix Services or related systems or networks.

Third party services and content

The RoFix Services may be made available or accessed in connection with third party services and content that RoFix does not control. Different terms and privacy policies may apply to your use of such third party services and content. RoFix does not endorse such third party services and content and is not responsible or liable for any products or services of third parties.

App Stores

You acknowledge that the availability of the Applications may depend on the third party from which you received the Applications, such as Apple App Store or Google Play (each, an “App Store”). These RoFix Terms are between you and RoFix, not the App Store. To the extent required by the App Store terms, the App Store may be a third party beneficiary of these RoFix Terms.

Ownership

The RoFix Services and all rights therein are and shall remain RoFix’s property or the property of RoFix’s licensors. Neither these RoFix Terms nor your use of the RoFix Services convey or grant to you any rights:

i. in or related to the RoFix Services except for the limited licence granted above, or

ii. to use or reference in any manner RoFix’s names, logos, product and service names, trademarks, or service marks.

Active area and availability

Services that may be requested through the RoFix Services are available only in designated areas communicated via the Application from time to time (the “RoFix Active Area”). RoFix does not guarantee availability at any time, including within the RoFix Active Area.

3. YOUR USE OF THE ROFIX SERVICES

User Accounts

To use most aspects of the RoFix Services, you must register for and maintain an active personal user account (an “Account”). Account registration may require you to submit personal information such as your name, mobile phone number, email address, and to provide at least one valid payment method, where applicable.

You agree to maintain accurate, complete, and up to date information in your Account. Failure to do so may result in inability to access or use the RoFix Services.

You are responsible for all activity that occurs under your Account and agree to maintain the security and secrecy of your Account credentials at all times. Unless otherwise permitted by RoFix in writing, you may only possess one Account.

User requirements and conduct

You may not authorize third parties to use your Account, and you may not allow persons under 18 to use the RoFix Services through your Account.

You agree to comply with all applicable laws when accessing or using the RoFix Services and may only access or use the RoFix Services for lawful purposes. You will not, in your use of the RoFix Services, cause nuisance, annoyance, inconvenience, or property damage, whether to a Third Party Provider or any other party.

RoFix may request proof of identity, age, vehicle ownership, authorization to request service, or other verification. You agree that you may be denied access to or use of the RoFix Services if you refuse to provide requested verification, subject to applicable law.

Commercial electronic messages

By creating an Account, you agree that RoFix may send you transactional messages related to your use of the RoFix Services, including service confirmations, receipts, security notices, and account messages, by email, SMS, or push notifications, where applicable.

Where permitted by law and where you have provided consent, RoFix may also send marketing or promotional messages. You may opt out of promotional messages at any time using the unsubscribe mechanism included in such messages, or through account settings where available. Opting out of certain messages may affect your ability to use the RoFix Services.

Promotional codes

RoFix may, in its discretion, create promotional codes that may be redeemed for credits, discounts, or other features (each, a “Promo Code”), subject to additional terms. Promo Codes:

i. must be used for the intended audience and purpose, in a lawful manner,

ii. may not be duplicated, sold, or transferred, unless expressly permitted,

iii. may be disabled at any time where permitted by law,

iv. may expire prior to use,

v. are not redeemable for cash unless required by law.

User provided content

RoFix may permit you to submit content such as comments, ratings, feedback, support requests, or other materials (“User Content”). User Content remains your property. By providing User Content, you grant RoFix and its affiliates a worldwide, perpetual, irrevocable, transferable licence, with the right to sublicense, to use, copy, modify, create derivative works of, distribute, publicly display, publicly perform, and otherwise exploit such User Content for operating, improving, and promoting the RoFix Services, without payment to you, to the maximum extent permitted by law.

You represent and warrant that you have all rights necessary to provide User Content and that it does not violate law or third party rights. RoFix may review, monitor, or remove User Content at its discretion, without notice.

Network access and devices

You are responsible for obtaining the network access necessary to use the RoFix Services. Data and messaging rates may apply. You are responsible for acquiring and updating compatible hardware or devices. RoFix does not guarantee the RoFix Services will function on any particular device. The RoFix Services may be subject to delays and interruptions inherent to internet and electronic communications.

4. PAYMENT

Third party charges and facilitation

You understand that use of the RoFix Services may result in charges to you for services you receive from a Third Party Provider (“Third Party Charges”). After you have received services obtained through your use of the RoFix Services, RoFix or an affiliate may facilitate your payment of applicable Third Party Charges as a limited collection agent for the Third Party Provider, where applicable. Payment in this manner is intended to be treated the same as payment made directly by you to the Third Party Provider.

Third Party Charges may include applicable taxes where required by law. Third Party Charges are final and non refundable, unless otherwise required by law or determined by RoFix acting reasonably in accordance with applicable policies.

Payment methods

All Third Party Charges are due immediately and payment may be facilitated using the payment method designated in your Account, after which you will be sent a receipt. If your primary payment method is expired, invalid, or cannot be charged, you agree that RoFix may use a secondary payment method in your Account, if available.

Dynamic pricing, estimates, and additional fees

You acknowledge that Third Party Charges may be estimates and may be adjusted based on actual service conditions, including distance, time, location, additional equipment, after hours service, tolls, storage, winch recovery, special handling, or other factors disclosed to you where practicable. In high demand periods, charges may increase.

Gratuities

Unless otherwise stated, no portion of your payment is designated as a gratuity to the Third Party Provider. You may choose to provide a gratuity, but you are under no obligation to do so.

Cancellations

You may cancel a request prior to a Third Party Provider’s arrival, but you may be charged a cancellation fee where disclosed. If a request is cancelled for reasons not attributed to you under applicable cancellation policies, you may be eligible for a refund, subject to law and policy.

Corrections and disputes

If you believe a charge is incorrect, you must notify RoFix within 30 days after the charge was issued, unless applicable law requires a longer period.

Damage, cleaning, storage, and other fees

You may be responsible for fees where you cause damage requiring repair or cleaning, or where circumstances attributable to you result in additional costs, including but not limited to incorrect location information, unsafe access, blocked access, impound or storage costs, or unnecessary dispatch.
